1. Introduction and acceptance

These Terms of Use ("Terms") are a legally binding agreement between you ("you", "your", "User") and Socialy LTD, a company incorporated in England and Wales with company number 17184561 and registered office at 71-75 Shelton Street, London, WC2H 9JQ, United Kingdom ("Socialy", "we", "us", "our").

These Terms govern your access to and use of:

(together, the "Service").

By downloading, installing, registering for or using the Service, you confirm that you accept these Terms and agree to be bound by them. If you do not agree, you must not use the Service.

Our Privacy Policy forms part of these Terms and is incorporated by reference — it also covers cookies, SDKs and device identifiers, at its section 17. So do Schedule 1 (Apple App Store), Schedule 2 (Google Play — applicable only if and when we distribute the App there) and Schedule 3 (model withdrawal form) at the end of these Terms. Please read them carefully — they explain how we handle your personal data, including your voice recordings and the content you create.

If you are entering into these Terms on behalf of a company, agency or other organisation, you represent that you have authority to bind that entity, and "you" means that entity.

2. Definitions

Term Meaning
Account Your registered user account for the Service.
AI Features Any functionality of the Service that uses artificial intelligence to generate, transform, summarise, analyse or recommend content, including the Content Plan Agent, Strategy Agent, AI Analyst chat and transcription of voice notes.
Connected Platform A third-party social media or content platform (for example Instagram, TikTok, YouTube or LinkedIn) that you choose to connect to the Service through that platform's official API.
Credits Units of prepaid or plan-allocated entitlement that permit you to run a defined number of AI generations or analyses.
Generation A single completed run of an AI Feature that produces an Output.
Output Any content produced by an AI Feature in response to your Input, including content plans, scripts, hooks, summaries, transcripts and analytical commentary.
Pillars The content categories, formats, proportions and tone-of-voice settings you configure in the Service.
Store The Apple App Store, and any other app store through which we later distribute the App.
Subscription A recurring paid plan giving access to designated features of the Service.
User Content Everything you submit, upload, record, dictate, share, link to, or otherwise input into the Service, including text notes, voice recordings, saved links, references, Pillars, calendar entries, and edits you make to Outputs.

3. Eligibility and your Account

3.1 Minimum age

The Service is not intended for children or teenagers. You may only use the Service if you are at least 18 years old and have the legal capacity to enter into a binding contract.

We may terminate any Account we reasonably believe belongs to a person under 18 and will delete the associated personal data in accordance with our Privacy Policy.

3.2 Registration

To use most of the Service you must create an Account. You agree to:

You are responsible for all activity that occurs under your Account, except to the extent it results from our breach of these Terms or our own failure to keep the Service secure.

3.3 One Account per person

Accounts are personal to you. You may not sell, transfer, rent or share your Account, and you may not operate multiple Accounts to circumvent Credit limits, free trials or promotional offers.

4. The Service

4.1 What Socialy does

Socialy is a productivity and planning tool for content creators. It helps you structure a content strategy around your Pillars, capture ideas by text, voice or share sheet, generate weekly content plans and scripts using AI, manage those plans as tasks and calendar entries, receive reminders to record content, and — where you enable it — review analytics drawn from Connected Platforms.

4.2 What Socialy is not

The Service is a planning and creative assistance tool. It is not:

Any statistics, benchmarks, trend digests or recommendations shown in the Service are provided for general information only. Decisions you make on the basis of the Service are yours alone.

4.3 Changes and evolution of the Service

The Service is under active development. We may add, modify, suspend or remove features at any time. Where a change materially reduces the core functionality of a paid plan you are currently on, we will give you at least 30 days' notice by email or in-app message and you may cancel under clause 6.4.

4.4 Beta and experimental features

We may label certain features as beta, preview, early access or experimental. Such features are provided "as is", may be unstable or withdrawn without notice, and are excluded from any service commitments. Do not rely on beta features for anything important.

4.5 Availability

We aim to keep the Service available but we do not promise uninterrupted or error-free operation. The Service may be unavailable during maintenance, or because of failures in third-party infrastructure, app stores, network operators, AI providers or Connected Platform APIs.

5. Subscriptions, Credits and payment

5.1 Plans

We offer a free tier and one or more paid Subscriptions. The current plans, their features, generation allowances and prices are set out in the App and at https://socialyclub.app/pricing. Prices are shown inclusive of applicable taxes where required by law.

5.2 Purchases are made through the App Store

All Subscriptions and Credits are purchased inside the App, and the transaction is processed by Apple, not by us. Apple is the merchant of record. This means:

Schedule 1 (Apple App Store) also applies to you. We do not sell Subscriptions or Credits directly through the Website.

5.3 Automatic renewal

Subscriptions renew automatically at the end of each billing period at the then-current price, unless you cancel at least 24 hours before the end of the current period. We will remind you before renewal where required by law.

To cancel: go to your Apple ID subscription settings (Settings → your name → Subscriptions). Deleting the App does not cancel your Subscription.

5.4 Free trials

Where we offer a free trial, you will be charged automatically when the trial ends unless you cancel before that point. Free trials are limited to one per person and per payment method. We may withdraw or vary trial offers at any time.

5.5 Credits and fair use limits

AI processing has a real per-use cost. Accordingly:

We may apply reasonable technical rate limits to protect the Service. If your usage is materially and persistently outside normal individual use — for example automated or scripted access, or use on behalf of many third parties — we may contact you, apply limits, or require an appropriate plan.

5.6 Price changes

We may change prices. For existing Subscriptions, we will give you at least 30 days' notice before a price change takes effect, and the change will apply from your next renewal. You may cancel before then. Where Apple requires your affirmative consent to a price increase, your Subscription will not renew at the new price unless you give it.

5.7 Taxes

Prices displayed to consumers include all applicable VAT and equivalent sales taxes, which may vary by country. The total you will pay is always shown by Apple before you confirm your purchase, and there are no additional charges beyond it. As merchant of record, Apple handles tax collection and remittance.

6. Cancellation, withdrawal and refunds

6.1 Your statutory right of withdrawal (consumers in the UK and EU)

If you are a consumer in the UK or EU, you have 14 days from entering into a contract for digital content or services to withdraw from it without giving a reason.

How this applies to App Store purchases. Because Apple is the merchant of record, Apple's own refund process is the practical route for most purchases, and Apple applies its own cancellation terms. Your statutory right against us is unaffected by that:

To exercise this right, contact support@socialyclub.app, or use the model withdrawal form at Schedule 3, and also raise a refund request with Apple. Clause 6.4 explains what we do if Apple declines a refund you are entitled to.

6.2 Cancelling a Subscription

You can cancel at any time, and cancellation takes effect at the end of the current billing period — you keep access to paid features until then. Note Apple's timing rule in clause 5.3: to stop the next renewal you must cancel at least 24 hours before the current period ends. If you cancel inside that final 24 hours, the next period will already have renewed; contact support@socialyclub.app and we will help you seek a refund of that renewal from Apple. We do not provide partial refunds for unused time in a period, except where required by law or where we have materially breached these Terms.

6.3 Deleting your Account

You can delete your Account at any time from the App settings or by emailing privacy@socialyclub.app. Deletion is permanent: your Pillars, idea bank, voice notes, transcripts, plans, scripts and any personal AI style profile will be deleted or anonymised in accordance with our Privacy Policy.

If you want a copy of your content, ask us for it before you delete. There is no self-service export button yet. Email privacy@socialyclub.app and we will send you your content in a structured, machine-readable format within one month, as required by data protection law. Deletion is immediate and cannot be undone, so do not delete first and ask afterwards.

Deleting your Account does not automatically cancel a Store-managed Subscription — cancel that separately.

6.4 Cancellation following a material change or loss of functionality

You may cancel your Subscription with immediate effect, and receive a pro rata refund of the unused portion of your current billing period, if:

(a) we materially change these Terms to your disadvantage; (b) we materially reduce the core functionality of your paid plan; or (c) core functionality of your paid plan becomes materially unavailable for a sustained period for any reason outside your control, including because a Connected Platform restricts or withdraws its API.

You may exercise this right at any time from the date we notify you of the change until 30 days after it takes effect.

How the refund is paid. Apple controls refunds for App Store purchases. Where you are entitled to a refund under these Terms or by law, we will (i) support your refund request with Apple, and (ii) if Apple declines it, provide you with an equivalent credit or, at your election, arrange an equivalent payment to you by another means. Your statutory rights to a refund are not limited by the fact that you paid Apple rather than us.

7. AI Features — how they work and what you must know

7.1 You are interacting with an AI system

Socialy's planning, scripting, strategy and analysis features are powered by artificial intelligence. We tell you clearly in the interface when you are interacting with an AI system and when content has been generated by AI, and we mark AI-generated Outputs so that they are detectable as artificially generated, in line with applicable AI transparency law including Article 50 of the EU Artificial Intelligence Act.

We use third-party AI models to deliver these features. As at the date of these Terms this includes Claude (Anthropic) for text generation and reasoning and OpenAI (Whisper API) for speech-to-text. We may change providers; the current list is maintained in our Privacy Policy.

7.2 Accuracy — read this carefully

AI Outputs may be inaccurate, incomplete, outdated, generic or unsuitable for your purpose. AI systems can produce plausible-sounding statements that are wrong ("hallucinations"). This applies to factual claims, trend commentary, platform-algorithm explanations, statistics and any analytical conclusion the Service presents.

You must review, verify and edit every Output before relying on it or publishing it. You are solely responsible for what you publish. We give no warranty that any Output is accurate, original, non-infringing, compliant with any platform's rules or advertising law, or fit for any particular purpose.

7.3 Outputs are not unique

Generative AI produces outputs statistically. Other users giving similar inputs may receive similar or identical Outputs. We make no claim that any Output is unique to you, and you may not claim exclusivity over an Output as against other users.

7.4 Ownership of Outputs

As between you and us, and subject to clause 7.3 and to the rights of third parties, we assign to you all rights we may have in the Outputs generated for you, so that you may use them freely, including commercially.

However, you acknowledge that:

7.5 Your responsibility for disclosure

Some platforms, advertising regulators and laws require you to disclose that content is AI-generated or AI-assisted. Compliance with those rules is your responsibility, not ours.

We do not use your User Content or Outputs to train foundation models for third parties. We contractually require our AI providers not to use data submitted through our commercial API access to train their models. We may use aggregated and de-identified usage statistics (for example, which features are used and how often) to improve the Service. Any use of your identifiable content to improve our own models or prompts will only occur where you have given separate, specific and revocable consent. See our Privacy Policy for detail.

7.7 Personal AI style profile (RAG)

Where you enable it, the Service may build a personal profile of your writing and speaking style from your own past content, held in our own database on our own servers in the EU, in order to make Outputs sound more like you. You can disable this feature and delete the profile at any time in settings. Deleting your Account deletes the profile.

8. Your Content

8.1 You own it

You retain all ownership of your User Content. Nothing in these Terms transfers ownership of your ideas, notes, voice recordings, scripts or published content to us.

8.2 The licence you give us

To operate the Service, you grant us a worldwide, non-exclusive, royalty-free, revocable licence to host, store, reproduce, transmit, transcribe, translate, adapt, display and process your User Content solely for the purposes of:

(a) providing and maintaining the Service to you, including sending relevant parts of it to our AI providers to generate Outputs; (b) creating and maintaining your personal style profile, where enabled; (c) backing up, securing and restoring the Service; (d) complying with law and enforcing these Terms.

This licence ends when you delete the relevant User Content or your Account, save for (i) copies retained in routine encrypted backups for a limited period, and (ii) where we are required by law to retain a copy.

8.3 Your promises about your content

You represent and warrant that:

8.4 Saved references from other creators

The Service lets you save links to and covers of third-party videos as inspiration, and optionally to run deeper analysis of a reference you have saved.

You must have the right to use any reference you save and analyse. Saving a link for personal inspiration is generally permissible; reproducing, republishing or closely imitating another creator's protected expression is not. We do not scrape, download or store third-party video files, and we do not grant you any rights in third-party content. Any structural insight the Service extracts from a reference is a tool for your own original work — it is not a licence to copy.

8.5 Removal

We may remove or disable access to User Content that we reasonably believe breaches these Terms or applicable law, or in response to a valid legal notice. Where practicable and lawful, we will tell you and give you a route to object.

9. Connected Platforms and third-party services

9.1 Official APIs only

Where you connect Instagram, TikTok, YouTube, LinkedIn or another platform, we access data only through that platform's official, authorised API and only within the scope of the permissions you grant. We do not scrape platforms and we do not ask for your platform passwords.

9.2 Your relationship with those platforms

Your use of a Connected Platform is governed by that platform's own terms and privacy policy. You are responsible for complying with them, including any rules about automation, data use, disclosure of paid partnerships and AI-generated content.

9.3 We depend on them

Connected Platforms may change, restrict, price or withdraw their APIs at any time, without notice to us. If that happens, the corresponding features of the Service may degrade or stop working, and this will not constitute a breach of these Terms by us. Where such a change materially removes core functionality of your paid plan, clause 6.4 applies.

9.4 Disconnecting

You can disconnect a Connected Platform at any time in settings. Doing so stops future data collection; data already collected is handled under our Privacy Policy.

9.5 Other third-party services

The Service may link to or interoperate with other third-party sites, tools and services. We do not control them and are not responsible for their content, availability or practices.

10. Acceptable use

You agree not to use the Service, and not to use any Output, to:

Illegal and harmful content 1. create, plan or promote content that is unlawful, defamatory, harassing, hateful, or that incites violence or discrimination against any person or group; 2. create sexual content involving minors, or any content that sexualises, endangers or exploits a child; 3. plan or promote self-harm, disordered eating, dangerous challenges, or the sale of illegal goods or services;

Deception 4. create content designed to impersonate a real person or organisation, or to mislead people about who is speaking; 5. generate synthetic audio, video or imagery of a real person without their consent, or any "deepfake" intended to deceive; 6. produce disinformation, fake reviews, engagement-farming content, or content designed to manipulate a platform's ranking systems in breach of that platform's rules; 7. present AI-generated content as human-created where disclosure is legally or contractually required;

Rights of others 8. infringe anyone's copyright, trade mark, design right, database right, privacy or publicity rights; 9. upload another person's personal data without a lawful basis; 10. reproduce another creator's protected expression rather than drawing inspiration from it;

The Service itself 11. reverse engineer, decompile, disassemble or attempt to derive the source code of the App, except to the extent this restriction is prohibited by law; 12. probe, scan, penetration-test, overload or interfere with the Service or its infrastructure without our prior written consent; 13. use bots, scrapers or automated means to access the Service, or resell, sublicense or provide the Service (or bulk Outputs from it) to third parties as a service; 14. extract Outputs in bulk in order to train a competing AI model or build a competing dataset; 15. circumvent Credit limits, rate limits, paywalls, trial restrictions or any technical protection measure; 16. attempt to manipulate the AI Features into ignoring their safety instructions or producing prohibited content.

Breach of this clause is a material breach and may result in immediate suspension or termination under clause 13.

11. Notifications, reminders and your wellbeing

11.1 How reminders work

A core part of Socialy is proactive reminders that prompt you to record or publish content at times you have scheduled. Many of these are scheduled locally on your device and will fire without an internet connection.

11.2 You are in control

You can adjust reminder frequency and timing, pause them ("snooze" / rest days), or disable them entirely — in the App settings and at operating-system level. We will never make the ability to pause or disable notifications conditional on a payment.

11.3 Wellbeing

Socialy is designed to help you build a sustainable creative routine, not to create pressure or anxiety. Reminders are prompts, not obligations, and missing them has no consequence beyond your own goals. If you find the reminders stressful, reduce or turn them off. If you are struggling with burnout or your mental health, please speak to a qualified professional — the Service is not a substitute for that support.

12. Our intellectual property

The Service, including the App, Website, our software, models, prompts, agent designs, Pillar frameworks, digests we curate, branding, "Socialy" name and logo, and all associated intellectual property rights, belong to us or our licensors.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the App on devices you own or control, and to access the Website, for your own content-creation activity (including your own commercial creator activity). All other rights are reserved.

You may not use our trade marks without our prior written permission, except to refer to the Service accurately and descriptively.

Feedback. If you send us suggestions or feedback, you grant us a perpetual, irrevocable, royalty-free licence to use it without obligation or attribution. We will not identify you as the source without your consent.

13. Suspension and termination

13.1 By you

You may stop using the Service and delete your Account at any time (clause 6.3).

13.2 By us

We may suspend or terminate your access, in whole or in part, if:

Where reasonably possible and lawful, we will give you notice, an explanation and an opportunity to remedy the breach before suspending or terminating. For serious breaches — in particular those involving child safety, illegal content or security attacks — we may act immediately.

13.3 Effect of termination

On termination: your licence to use the Service ends; on request we will provide a copy of your User Content, unless prohibited by law or where your Account was terminated for a serious breach; and clauses that by their nature should survive will survive, including 7.2–7.6 (AI accuracy, ownership of Outputs, and our promise not to train third-party models on your content), 8.1–8.3 (your ownership of User Content, the wind-down of the licence you gave us, and your warranties), 12 (intellectual property), 14–17 (disclaimers, liability, consumer rights, indemnity) and 19–21 (complaints, general, governing law).

If we terminate for convenience or discontinue the Service, or you terminate because of our material breach, we will refund the unused portion of any fees for the current billing period, applying the refund mechanism in clause 6.4.

13.4 Discontinuing the Service

If we decide to shut the Service down, we will give you at least 60 days' notice, provide a way for you to obtain a copy of your User Content before it is deleted, stop charging you, and refund the unused portion of any prepaid period in accordance with clause 6.4.

14. Disclaimers

To the fullest extent permitted by law, and without limiting your statutory rights as a consumer under clause 16:

15. Limitation of liability

15.1 What we never exclude

Nothing in these Terms limits or excludes our liability for: death or personal injury caused by our negligence; fraud or fraudulent misrepresentation; any liability that cannot lawfully be limited or excluded, including your non-excludable statutory rights as a consumer.

15.2 What we are not liable for

Subject to clause 15.1, we are not liable for:

15.3 Cap

Subject to clause 15.1, our total aggregate liability arising out of or in connection with these Terms and the Service, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the greater of:

(a) the total amount you paid us for the Service in the 12 months immediately before the event giving rise to the claim; or (b) £100.

15.4 Business users

If you are using the Service for the purposes of a trade, business, craft or profession, clauses 14 and 15 apply in full and clause 16 does not apply to you. You agree that this allocation of risk is reasonable given the price of the Service.

16. Your rights as a consumer

If you are a consumer, you have statutory rights that these Terms do not affect, including under the UK Consumer Rights Act 2015 and the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or under equivalent EU consumer legislation and the mandatory consumer protection law of your country of residence.

In particular, digital content and services must be of satisfactory quality, fit for purpose and as described. If they are not, you may be entitled to a repair, replacement, price reduction or refund. Nothing in these Terms removes those rights.

If you are a consumer resident in the EU or the UK, you always retain the protection of the mandatory provisions of the law of your country of residence, and nothing in clause 21 deprives you of that protection.

17. Indemnity (business users only)

If you use the Service for business purposes, you agree to indemnify us against all losses, liabilities, damages, costs and reasonable legal fees arising from: your breach of these Terms; your User Content; your publication or use of any Output; or your breach of any Connected Platform's terms or of applicable law.

This clause does not apply to consumers.

18. Changes to these Terms

We may update these Terms to reflect changes to the Service, our business, or the law.

If you do not accept a material change, you may terminate under clause 6.4 at any time from the date we notify you until 30 days after the change takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.

We will give the same 30 days' notice for material changes to the Privacy Policy, since it forms part of these Terms.

19. Complaints and dispute resolution

19.1 Talk to us first

If you have a problem, please contact support@socialyclub.app. We aim to acknowledge complaints within 5 working days and resolve them within 30 days.

19.2 Data protection complaints

For complaints about how we handle your personal data, write to privacy@socialyclub.app — see section 13 of our Privacy Policy. We aim to acknowledge these within the same 5 working days, and we are in any event legally required to acknowledge them within 30 days and to respond substantively without undue delay. You have the right to complain to us directly and, separately, to a supervisory authority.

19.3 Alternative dispute resolution

If we cannot resolve your complaint, consumers may be entitled to use an alternative dispute resolution scheme. We are not currently obliged to use, and do not currently participate in, any ADR scheme.

Nothing in this clause prevents you from bringing court proceedings.

20. General

Entire agreement. These Terms, together with the Privacy Policy, are the entire agreement between you and us in relation to the Service and supersede any prior arrangements. Nothing in this clause limits liability for fraudulent misrepresentation.

Severability. If any provision is found unlawful or unenforceable, the rest remains in effect and the offending provision will be modified to the minimum extent necessary to make it enforceable.

No waiver. A delay or failure by us to enforce a right is not a waiver of it.

Assignment. You may not assign or transfer these Terms without our written consent. We may assign these Terms to an affiliate, or in connection with a merger, acquisition or sale of assets, on notice to you, provided your rights are not materially prejudiced.

Third-party rights. Except as set out in Schedule 1 (Apple), a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.

Force majeure. We are not liable for failure or delay caused by events beyond our reasonable control, including outages of cloud, AI or platform providers, network failures, natural events, war, or governmental action.

Notices. We may give you notice by email to your registered address or by in-app message. You may give us notice at legal@socialyclub.app or at our registered office.

Language. These Terms are drafted in English. Where we provide a translation, the English version prevails in the event of conflict, except where mandatory local consumer law requires otherwise.

21. Governing law and jurisdiction

These Terms and any dispute arising out of them are governed by the law of England and Wales.

Schedule 1 — Additional terms for the Apple App Store

These terms apply if you obtained the App from the Apple App Store, and are required by Apple. In the event of conflict with the main Terms, this Schedule prevails for App Store downloads only.

  1. Acknowledgement. These Terms are between you and us only, not with Apple. We, not Apple, are solely responsible for the App and its content.
  2. Scope of licence. The licence granted to you is a non-transferable licence to use the App on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the App may be accessed by other accounts associated with you via Family Sharing or volume purchasing.
  3. Maintenance and support. We are solely responsible for support and maintenance. Apple has no obligation to provide any maintenance or support services.
  4. Warranty. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever with respect to the App. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to any warranty are our sole responsibility.
  5. Product claims. We, not Apple, are responsible for addressing any claims relating to the App, including product liability claims, any claim that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy or similar legislation, including in connection with the App's use of HealthKit or HomeKit frameworks if applicable.
  6. Intellectual property claims. We, not Apple, are responsible for the investigation, defence, settlement and discharge of any third-party claim that the App or your use of it infringes that third party's intellectual property rights.
  7. Legal compliance. You represent and warrant that you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.
  8. Third-party beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
  9. Third-party terms. You must comply with any applicable third-party terms of agreement when using the App.

Schedule 2 — Additional terms for Google Play

These terms are dormant. The App is currently distributed only through the Apple App Store. This Schedule applies only if and when we make the App available on Google Play, and only to users who obtain it there.

  1. These Terms are between you and us only. Google is not a party and is not responsible for the App or its content.
  2. Your use of the App must comply with the Google Play Terms of Service and any applicable Google policies.
  3. We are solely responsible for support, maintenance, warranty claims and any product or intellectual property claims relating to the App.
  4. Refunds for purchases made through Google Play are handled under Google Play's refund policy.

Schedule 3 — Model withdrawal form
